Business Compliance Checklist for New Companies in India

Business compliance checklist for startups in India

Starting a business in India involves more than just registering a company name — there's an ongoing set of legal and tax obligations that every founder needs to track. This business compliance checklist covers the essentials, from initial registration through to the recurring filings that keep your business in good standing.

Company Registration & Incorporation Compliance

Whether you register as a Private Limited Company, LLP, or Proprietorship, the entity type determines your ongoing compliance burden. Private Limited Companies and LLPs have the most rigorous requirements — including maintaining statutory registers, holding board meetings, and filing annual returns with the Ministry of Corporate Affairs (MCA) — while proprietorships have comparatively lighter compliance.

GST & Tax Compliance Checklist

  • GST registration if turnover exceeds the threshold, or immediately if you plan to export or sell inter-state
  • Monthly or quarterly GST return filing (GSTR-1, GSTR-3B) depending on your scheme
  • Annual GST return (GSTR-9) for applicable businesses
  • TDS deduction and filing if you're paying salaries, rent, or professional fees above prescribed limits
  • Income tax return filing for the business entity every financial year

MSME (Udyam) Registration — Why It Matters

MSME registration benefits extend well beyond a certificate — registered businesses get priority access to collateral-free bank loans, lower interest rates, protection against delayed payments from buyers, subsidies on trademark and patent registration, and reduced fees for various government schemes. Udyam registration is free and can be completed online in a single sitting with just your Aadhaar and PAN.

IEC Code — Required for Any Import-Export Business

If your business plans to import or export goods or services, an Import Export Code (IEC) is mandatory — without it, customs clearance for your shipments simply isn't possible. It's a one-time registration with no annual renewal required (though periodic updation is needed if details change).

FSSAI Licensing for Food & Agri Export Businesses

Any business dealing in food products, spices, or agricultural exports needs an FSSAI license before they can legally manufacture, pack, or export food items. The type of license (Basic, State, or Central) depends on your turnover and whether you're exporting internationally.

Ongoing Annual Compliance to Track

  • Annual ROC filings for companies and LLPs (Forms AOC-4, MGT-7)
  • Statutory audit (mandatory for companies, and for LLPs above certain turnover)
  • Renewal of trade licenses and any category-specific permits
  • GST LUT renewal every financial year for exporters
  • Professional tax and labour law compliance where applicable

Missing even one of these can lead to penalties, loss of good-standing status, or delays when applying for loans or export incentives — which is why most growing businesses choose to work with a compliance partner rather than track it all manually.
